Please read the following terms and conditions carefully before using our service.

MEMBERSHIP AGREEMENT

BY LOGGING INTO THE ACCOUNT PROVIDED BY THE COMPANY AND ACCESSING THE SERVICES, THE MEMBER ACKNOWLEDGES THAT THEY HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THE FOLLOWING TERMS AND CONDITIONS.

BETWEEN: LUXE ICONE LTD, a company incorporated in Cyprus (HE 457060), office at 25 Martiou, 28, Office 102, 1087, Nicosia (the "Company"). AND: The individual or entity registering as a Member (the "Member").

1. DEFINITIONS AND NATURE OF SERVICE

1.1. The Program: The Company owns and operates the professional ecosystem under the commercial name "RESELLERS CONNECTOR", available via the website, Resellers Connector | Marketplace for Professionals, its smartphone application, and its managed professional communities on WhatsApp.

1.2. B2B Restriction: RESELLERS CONNECTOR is an exclusive Business-to-Business (B2B) platform. Access is strictly reserved for professional resellers.

1.3. Trademark Disclaimer: The Company is an independent marketplace and is NOT affiliated with the brands sold (e.g., Hermès, Chanel). Use of brand names is for identification only.

1.4. Transaction Protection Protocol: The Company’s internal mediation and payment facilitation service (similar to escrow).

2. MEMBERSHIP TIERS (2026)

2.1. Includes access to the Global Search Tool (10,000+ stocks) and participation in WhatsApp groups. Members may list and sell goods, connect directly with potential clients, and negotiate to close operations.
Revocable License and No Acquired Rights for Free/Basic Members: Access to the Basic or Free Membership tier is a temporary, non-exclusive, and fully revocable license granted at the Company's sole discretion. Free Members acknowledge and agree that they hold no proprietary rights, guaranteed uptime, or entitlement to continued platform access. The Company reserves the absolute right to suspend, terminate, or restrict access to any Free Member at any time, for any reason—including operational decisions or unresolved third-party disputes—without prior notice, liability, or obligation to provide compensation of any kind

2.2. Premium Membership (Paid): Includes all Basic features plus: Buying Rights; access to Verified Sellers; Transaction Protection Protocol; and Specialized Sales Contracts.

2.3. Custom/Bespoke Membership: Tailored tier for enterprise partners with individually agreed services.

3. THE SALES AND CONNECTION PROCESS

3.1. Zero Commission: The Company does not charge sellers any commission on sales.

3.2. Workflow: Sellers send stock via WhatsApp; the Company posts it after verification. Upon interest from a Buyer, the Company introduces both parties in a dedicated WhatsApp group.

3.3. Group Protocol: In every group, Members must disclose: (1) Photos, (2) Location, (3) Price, (4) Shipping responsibility, (5) Customs, (6) Condition, (7) Invoices/Accessories, (8) Payment method, (9) Timelines.

4. USER CONTENT AND PROPERTY RIGHTS

4.1. Transfer of Image Rights: By sending Content, the Member expressly transfers to the Company all intellectual property and usage rights. The Company may use, edit, or promote them without limitation.

4.2. Member Responsibility: The Member guarantees they have the legal right to sell the item.

5. OPTIONAL TRANSACTION SUPPORT & INSPECTION SERVICE

5.1. Neutrality: The Company facilitates the hiring of an independent third-party expert for authenticity checks.

5.2. Payment Supervision: The Company may supervise funds once the third-party check is complete.

5.3. External Costs: All costs (shipping, insurance, fees) are borne solely by the Members.

6. FEES & PRICE ADJUSTMENTS

6.1. 2026 Rates: Premium fees are set at the rate displayed during checkout for 2026.

6.2. Modifications: The Company reserves the right to modify fees with a 30-day notice.

6.3. Limitation of Remedy for Paid/Premium Members: In the event of service interruption, account suspension, or early termination of a Premium or Paid Membership initiated by the Company (other than termination resulting from the Member's material breach of these Terms), the Member’s sole and exclusive remedy shall be limited strictly to a pro-rata refund of the unearned portion of the pre-paid membership fee, or the immediate suspension of future monthly subscription billing. Under no circumstances shall the Company, its directors, or affiliates be liable for any indirect, consequential, incidental, special, or punitive damages, including but not limited to loss of profits, lost business opportunities, or damage to commercial reputation.

7. IDENTITY AUTHENTICATION & REPRESENTATION

7.1. Verification: Members must provide ID, Tax ID, and professional references.

7.2. Mobile Identity & Electronic Signature: The holder of the mobile number used in the HUB is the primary identifier. Its use constitutes an electronic signature and absolute acceptance of responsibility. In the absence of full data, the phone holder is personally liable.

8. WARRANTIES & PROFESSIONAL CONDUCT

8.1. Verification Disclaimer: "Verified" status indicates vetting at the time of joining.

8.2. Anti-Poaching: Contacting members privately to bypass the HUB results in immediate expulsion.

8.3. Sole Responsibility: Members are responsible for their own supply chain.

9. DATABASE PROTECTION & NON-COMPETITION

9.1. Prohibition of Extraction: Members are strictly prohibited from attempting to "scrape," "harvest," or extract the Company’s database, including but not limited to: member lists, contact information, or historical stock data.

9.2. Non-Competition Clause: Members shall not use the HUB, its groups, or its stock information to feed, promote, or facilitate transactions in competing professional communities, groups, or resale channels. Using the Company’s proprietary network to benefit a competing professional service is a material breach of this Agreement.

9.3. Sanctions: Violation of this section will lead to immediate expulsion, a permanent ban from the network, and the Company reserves the right to seek legal damages in the Courts of Nicosia.

10. GENERAL DATA PROTECTION POLICY (GDPR)

10.1. Compliance: Data is processed under Regulation (EU) 2016/679 (GDPR).

10.2. Consent: Members consent to their professional contact details being shared with other Members to facilitate trades.

11. DISPUTE RESOLUTION & MEDIATION

11.1. Mandatory Mediation: Any dispute must undergo a 10-day good-faith mediation period.

11.2. Binding Nature: Company decisions in mediation are binding for the continued use of the HUB.

11.3. Account Action upon Unresolved Financial Disputes & Indemnification: The Company reserves the right to immediately suspend or restrict the account of any Member (Free or Paid) who becomes involved in an unresolved financial, commercial, or authenticity dispute with another network member. The Member agrees to indemnify, defend, and hold harmless LUXE ICONE LTD from any claims, losses, liabilities, damages, or legal costs arising from direct transactions executed between members or disputes regarding non-returned funds.

12. APPLICABLE LAW & JURISDICTION

12.1. Governing Law: Laws of the Republic of Cyprus.

12.2. Exclusive Jurisdiction: Courts of Nicosia, Cyprus. The losing party bears all legal and travel expenses.
