MEMBERSHIP AGREEMENT
THIS MEMBERSHIP AGREEMENT (the "Agreement") is entered into by and between LUXE ICONE LTD, a company incorporated under the laws of the Republic of Cyprus, registration number HE 457060, registered office at 25 Martiou, 28, Office 102, 1087, Nicosia, Cyprus (the "Company"), and the individual or entity identified in the account registration process (the “Member”).
BY LOGGING INTO THE ACCOUNT PROVIDED BY THE COMPANY AND ACCESSING THE SERVICES, THE MEMBER ACKNOWLEDGES THAT THEY HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THE FOLLOWING TERMS AND CONDITIONS:
1. DEFINITIONS AND NATURE OF SERVICE
1.1. The Program: The Company owns and operates the professional ecosystem under the commercial name "RESELLERS CONNECTOR", available via the website https://resellersconnector.com/, its smartphone application, and its managed professional communities on WhatsApp.
1.2. B2B Restriction: RESELLERS CONNECTOR is an exclusive Business-to-Business (B2B) platform. Access is strictly reserved for professional resellers. To protect the professional channel, accounts are created manually by the Company after a verification process.
1.3. Trademark Disclaimer: RESELLERS CONNECTOR is an independent marketplace for second-hand goods. The Company is NOT affiliated, endorsed by, or officially connected with the brands sold on the platform (e.g., Hermès, Chanel, Louis Vuitton, etc.). Use of brand names is solely for identification purposes.
2. MEMBERSHIP FEES AND ANNUAL COMMITMENT
2.1. Binding Term & Auto-Renewal: The Membership is a binding annual commitment of twelve (12) months. Upon the expiration of the initial term, the Agreement shall automatically renew for successive 12-month periods unless either party provides written notice of non-renewal at least thirty (30) days before the end of the current term.
2.2. Total Fee: The total annual fee is €1,200.00.
2.3. Payment Modalities: Members may pay in 12 monthly instalments of €100.00. This plan does not waive the obligation to fulfil the full annual payment of €1,200.00.
2.4. Payment Failures: If payment fails, a 7-day retry period applies. After this, the Member is suspended. After a second failure, the instalment option is revoked, and the full €1,200.00 must be paid upfront for reactivation.
2.5. Identification: The Member is identified by the email, phone number, and documents provided during the manual onboarding process.
3. THE SALES AND CONNECTION PROCESS
3.1. Zero Commission: The Company does not charge sellers any commission on sales.
3.2. Workflow: Sellers send stock via WhatsApp; the Company posts it after verification. Upon interest from a Buyer, the Company introduces both parties in a dedicated WhatsApp group.
3.3. Group Protocol: In every group, Members must disclose: (1) Photos, (2) Location, (3) Price, (4) Shipping responsibility, (5) Customs, (6) Condition, (7) Invoices/Accessories, (8) Payment method, (9) Timelines.
3.4. Conduct: All negotiations must stay within the group chat. Unprofessional conduct results in immediate removal and notification to the reseller network.
4. USER CONTENT AND PROPERTY RIGHTS
4.1. Transfer of Image Rights: By sending Content to the Company, the Member expressly transfers to the Company all intellectual property and usage rights over said Content. The Company becomes the owner of the images and may use, edit, or promote them in any media or social network without limitation.
4.2. Member Responsibility: The Member guarantees they have the legal right to sell the item and that the Content does not infringe on third-party rights.
5. OPTIONAL TRANSACTION SUPPORT & INSPECTION SERVICE
5.1. Neutrality: The Company offers logistical supervision. To maintain neutrality, the Company does not personally certify authenticity. It facilitates the hiring of an independent third-party expert.
5.2. Payment Supervision: The Company may receive funds or give the "OK" to the Buyer to transfer funds directly to the Seller once the third-party check is complete.
5.3. External Costs: All costs (shipping, insurance, authentication fees, bank/currency fees, and customs) are borne solely by the Members.
6. WARRANTIES AND LIMITATION OF LIABILITY
6.1. "As Is" Service: The Company is a facilitator, not a party to the sale. The service is provided without warranties.
6.2. Liability: The Company is not responsible for the accuracy of Content, product condition, or authenticity disputes. Any reliance on third-party authentication is at the Member's risk.
7. DATA PROTECTION (GDPR) AND TERMINATION
7.1. Privacy: Personal data is processed for account management and connecting members under EU Regulation 2016/679.
7.2. Termination: The Company may terminate the Agreement immediately for breach of B2B integrity, payment failure, or fraud. All fees paid are non-refundable.
7.3. Amendments: The Company reserves the right to change these terms with 15 days' notice.
8. GOVERNING LAW
8.1. This Agreement shall be governed by the laws of the Republic of Cyprus. Any disputes shall be resolved by the courts of Nicosia, Cyprus.
